Terms of Service

These terms cover your use of the STABO Treasury as a Service portal — the place you build your company profile, send us documents, and apply for a STABO service. They do not themselves give you an account with any STABO product; each service has its own agreement, which you sign when you are approved for it.

Draft, pending legal review. This text is written to describe how the portal actually behaves, and has not yet been reviewed or approved by counsel. It is not a binding agreement in its current form. The final terms will be issued before the portal is opened to customers, and this notice removed only then.

1. Who these terms are between

They are between STABO and the company you are registering — not you personally. By creating an account and naming a company, you confirm you are authorised by that company to do so and to provide information about it and about the people connected to it.

If you invite colleagues, they use the portal under these same terms, and an account owner may add or remove their access at any time from Settings.

2. What the portal is, and what it is not

The portal collects and organises the information a STABO service needs. It reports three separate things — how complete your profile is, what a given service still needs from you, and whether STABO can serve a company like yours at all — and none of them is a promise of anything.

  • A complete profile is not an approved application. Completion measures your effort, not our decision.
  • Eligibility is a gate, not a score. Where it says STABO cannot onboard a company incorporated somewhere, that is a statement about the present and can change in either direction.
  • Nothing here is financial, tax or legal advice. Guidance in the portal — including anything the portal says about your ownership structure or reporting obligations — is there to help you fill in a form correctly, and is not a substitute for your own advisers.

3. What you are responsible for

  • That the information and documents you give us are accurate, current, and yours to give — including information about directors, shareholders and beneficial owners, whom you should tell that their details are being provided.
  • Telling us when something material changes: ownership, control, the nature of the business, or a document that has since expired or been superseded.
  • Keeping your sign-in credentials to yourself, keeping two-factor authentication on where it is offered, and telling us promptly if you think an account has been used by someone who should not have it.
  • Not uploading anything unlawful, anything containing malicious code, and nothing you do not have the right to share with us and with the companies listed in the data processing register.

4. Automated reading of your documents

When you upload a document, its contents are sent to OpenAI, STABO's artificial-intelligence partner, which identifies what the document is and proposes answers to your profile from it. This is stated plainly because it is the part of the portal a reasonable person would not otherwise expect.

Those proposals are suggestions you accept or reject. Nothing extracted from a document changes your profile until you confirm it, and no decision about your application is made by that system. You remain responsible for the accuracy of what you accept — an answer the model proposed and you confirmed is your answer.

If you would rather not have a document read this way, you can enter the corresponding profile fields yourself and upload the document as evidence afterwards. Details of what is sent, where, and to whom are in the Privacy Notice.

5. Verification, and proceeding to onboarding

When you press Proceed to Onboarding, your profile, the people you have named and the relevant documents are sent to Sumsub, STABO's identity and company verification provider, and your profile is locked while that check runs. You can revoke it from Applications at any time to edit again.

STABO and its providers carry out screening required by law — including sanctions and politically-exposed-person screening. STABO may decline to open or may discontinue a relationship, and where the law prevents us from explaining why, we will say that we cannot rather than give you a reason that is not the real one.

6. Your information and your documents

The documents and information you upload remain yours. You give STABO permission to store them, to process them for the purposes described in the Privacy Notice, and to pass them to the companies in the register where that is needed to provide the service or to meet a legal obligation.

Records connected to identity verification are kept for as long as anti-money-laundering law requires, which is longer than your use of the portal. Closing an account does not delete what we are obliged to retain.

7. Availability, changes and ending

The portal is provided as it stands. STABO works to keep it available and correct but does not guarantee uninterrupted access, and may change or withdraw features. Where a change materially affects how your information is handled, we will tell account owners before it takes effect rather than rely on this page having changed.

You may stop using the portal at any time and ask for your account to be closed. STABO may suspend or close access where these terms are broken, where the law requires it, or where a company is no longer one we can serve.

8. Liability

Nothing in these terms limits liability that cannot lawfully be limited, including for fraud. Otherwise, and to the extent the law allows, STABO is not liable for indirect or consequential loss, for loss of profit or business, or for decisions taken on the basis of guidance in the portal rather than on your own advisers' advice.

9. Governing law, and getting in touch

The governing law and the courts that hear a dispute are to be confirmed as part of the legal review noted at the top of this page, and will be stated here explicitly rather than left to be inferred.

Questions about these terms, or about anything in them you think is wrong, go to your STABO contact or to info@omucloud.co.
